We structure projects inside a dedicated SPV that develops, owns, and operates a single asset. The project’s own cash flow is positioned as the repayment source, allowing lenders to provide non-recourse or limited-recourse debt secured only by the asset and its contracts. The arranger builds the structure and places the debt with several lenders, while equity investors take the first-loss position in exchange for the upside after debt service.
Long-term offtake or service agreements are built in from the start, giving lenders predictable revenue and allowing the project to stand on its own balance sheet rather than the sponsor’s. Governments slot into the structure through approvals, concessions, guarantees, or even by acting as an offtaker, depending on the sector.
The result is a risk-allocated framework where each participant knows exactly what they are taking on—enabling large, capital-intensive projects to be financed and built even when traditional corporate balance sheets cannot support them.
